These Terms and Conditions govern the provision of services by Delegait ("we", "us", "our"), operated by Tom Hamill, Crewe, Cheshire. By engaging our services you agree to these terms. Please read them carefully before proceeding.

Delegait provides two core services:
Delegait AI. AI-powered customer support solutions, including but not limited to:
Delegait Web Design. Bespoke website design and build for small businesses, including but not limited to:
The exact scope of services for each client is agreed upon during onboarding and confirmed in writing prior to commencement.

Pricing may vary for bespoke arrangements, which will be confirmed in writing. All prices are exclusive of VAT where applicable. Payment is due within 14 days of invoice. We reserve the right to suspend services for accounts more than 30 days overdue.
The monthly retainer operates on a 30-day rolling basis. Either party may cancel by giving 30 days' written notice to the other. Notice should be sent to tom@delegait.co.uk.
The one-off setup fee is non-refundable once build work has commenced. Monthly retainer fees paid in advance are non-refundable for the period already invoiced.
Upon cancellation, the AI assistant will be deactivated within 30 days of the final service date. Any data held by Delegait relating to your account will be deleted within 90 days of cancellation, unless retention is required by law.

All intellectual property in the Delegait service, methodology, and underlying systems remains the property of Delegait. The AI assistant configuration, system prompts, and training materials created for a client are bespoke to that client but remain the intellectual property of Delegait during the period of service.
Clients retain all rights to their own website content, brand assets, and business information provided to us for training purposes.
AI assistants are trained on the information provided and available at the time of training. While we take reasonable care to ensure accuracy, we cannot guarantee that the assistant will answer every question correctly in every circumstance. Clients accept that:
To the fullest extent permitted by law, Delegait's total liability to a client in connection with these terms shall not exceed the total fees paid by that client in the three months preceding the claim. We are not liable for any indirect, consequential, or special losses, including loss of profit, loss of business, or loss of data.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the business relationship. This obligation continues for two years following the end of the service agreement.
Both parties agree to comply with applicable data protection legislation, including the UK GDPR. Our full privacy practices are set out in our Privacy Policy. Where Delegait processes personal data on behalf of a client (e.g. lead data captured by the AI assistant), a Data Processing Agreement can be provided on request.
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms and Conditions from time to time. Active clients will be notified of any material changes with at least 30 days' notice. Continued use of the service after that period constitutes acceptance of the revised terms.
